Fees Subject to Change – We will bill you on a periodic basis for fees and other expenses associated with our services. By accepting our services, you expressly acknowledge and agree that our billing rates are subject to change from time to time, without notice, in our sole discretion. You further agree that you are responsible for the payment of our invoices immediately upon receipt.
Fees Due Upon Expiration/Termination – Upon the expiration or termination of our engagement, you agree to remain obligated to pay for any and all services rendered to you prior to the effective time of the expiration or termination, regardless of whether or not an invoice was sent to you reflecting our fees for such services prior to the effective time of the expiration or termination. For the avoidance of doubt, you are responsible for any and all fees and expenses incurred as a result of your engagement with us through the time of such expiration or termination.
Acknowledgment of Copyright – By requesting a website built by Waterford Web Services, you agree that you are a current member in good standing of Teleflora, FTD and Bloomnet, and that by virtue of your membership, have rights to display Teleflora, FTD and Bloomnet products. You agree that if you are not a member of any of the three aforementioned networks, it is your responsibility to inform Waterford Companies in writing to support@waterfordwebservices.com so that any applicable products can be removed from your website in observation of image ownership laws.
No Transfer of Ownership: Nothing in this Agreement is intended to transfer any ownership rights to any Intellectual Property – including but not limited to website, design and/or function, advertising campaigns, data and any methods or tools used across services offered – from the Waterford Companies dba Waterford Web Services to Client. Client acknowledges that – with the exception of domain names – all websites, data, hosting services, services and content as well as any corrections, bug fixes, enhancements, updates or other modification, including custom modifications, etc., whether made by Waterford Companies or any third party, are owned and retained by Waterford Companies and the relevant licensors or any embedded plug-ins or Third-Party Services.
